Terms of Service

1. Acceptance of Terms

By accessing or using Chatonbo (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and clients.

2. Description of Service

Chatonbo is an AI-powered chatbot platform that allows businesses to create, train, and deploy intelligent chatbots on their websites. The Service includes a web dashboard, embeddable widget, API access (on paid plans), and supporting infrastructure.

3. Account Registration

To use Chatonbo, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized access to your account
• Ensuring all team members comply with these Terms

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Transmit spam, malware, or other harmful content
• Impersonate any person or entity
• Attempt to gain unauthorized access to our systems
• Use the Service to build a competing product or service
• Scrape, crawl, or extract data from the Service without permission
• Deploy chatbots that deceive, harass, or harm end users

5. Plans, Billing, and Payments

Chatonbo offers Free, Pro, Business, and Enterprise plans. Paid plans are billed in USD on a monthly or annual basis.

• Prices are subject to change with 30 days notice to existing subscribers
• Paid plans are non-refundable except as required by applicable law
• Failure to pay may result in suspension or termination of your account
• You may cancel your subscription at any time; your plan remains active until the end of the billing period
• Downgrading your plan may result in loss of access to features and data above the new plan limits

6. Intellectual Property

Chatonbo and its content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the content you upload to the Service (knowledge base documents, bot configurations, etc.), and you grant us a limited license to use that content solely to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. By using Chatonbo, you agree to the collection and processing of data as described in our Privacy Policy.

8. Data Processing & Protection (Merchants and Their Customers)

When you connect a store or website to Chatonbo (including via Shopify, WooCommerce, or Wix), Chatonbo may process personal data belonging to your customers and visitors (“Customer Data”) on your behalf. For this Customer Data, you are the data controller and Chatonbo acts as your data processor. This section, together with our Privacy Policy, forms our data processing agreement.

• Purpose limitation: We process Customer Data only to provide the Service - answering questions, looking up order status, recommending products, validating discounts, capturing leads, and similar chatbot functions - and only on your documented instructions. We do not sell Customer Data, and we do not use it to train third-party AI models.
• Data minimization: We request and process the minimum data needed. Order and customer information retrieved from your store (such as order status by email or order number) is processed transiently to answer a customer in real time and is not retained beyond what is needed to provide the Service.
• Security: Customer Data is encrypted in transit (TLS) and at rest. Store access tokens are encrypted at rest, access is restricted, and backups are encrypted. Production and test environments are kept separate.
• Sub-processors: We use a limited set of sub-processors to run the Service (including AI providers such as OpenAI, and infrastructure and email providers). Each is bound by confidentiality and data-protection obligations.
• Data subject rights & deletion: We assist you in responding to data subject requests. When a store is disconnected or an account is closed, associated Customer Data is deleted or returned in accordance with our retention schedule, and we honor platform-mandated data erasure requests (including Shopify GDPR/CCPA webhooks).
• Breach notification: In the event of a personal data breach affecting Customer Data, we will notify affected merchants without undue delay and within the timelines required by applicable law (e.g., 72 hours under GDPR), with the information needed to meet your own notification obligations.

You remain responsible for having a lawful basis to collect and share your customers’ data with the Service, and for maintaining your own privacy policy and consent mechanisms with your customers.

9. AI and Third-Party Services

The AI capabilities of Chatonbo are powered by OpenAI. By using the Service, you acknowledge that your content may be processed by OpenAI in accordance with their usage policies. We are not responsible for the accuracy, completeness, or appropriateness of AI-generated responses. You are responsible for reviewing and validating the content your chatbot delivers to end users.

10. Limitation of Liability

To the maximum extent permitted by law, Chatonbo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, or profits. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. Use of the Service is at your own risk.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time via the account settings in your dashboard. Upon termination, your data will be retained for 30 days before permanent deletion.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a prominent notice on the platform at least 14 days before changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
